Lindahl advises HANZA on acquisition of BMK in Germany
Advokatfirman Lindahl has acted as legal advisor to HANZA AB (publ) in connection with the company’s acquisition of the German contract manufacturer BMK Group GmbH (BMK). Through the transaction, HANZA establishes itself as Europe’s largest listed contract manufacturer.
HANZA, listed on Nasdaq Stockholm’s main market, has through this acquisition completed its strategic plan HANZA 2025 and strengthened its European presence with five balanced manufacturing clusters. BMK has approximately 1,500 employees and is expected to generate revenues of around SEK 3.3 billion in 2025. The transaction is structured as a share exchange and remains subject to approval at an extraordinary general meeting, as well as customary regulatory clearances, with closing expected around the turn of the year.
Lindahl's team was led by Michael Edquist and Andreas Mellberg (M&A) and included colleagues from multiple Lindahl offices, including Alexander Tham and Fredrik Steen (Foreign Direct Investments), Hugo Norlén and Isabella Mellberg (Competition law), Erika Svensson and Michaela Larsson (Capital Markets), and Fredrik Gillgren (Credit and Insolvency).
