Björn on M&A at Lindahl: "No two deals are alike"
At Lindahl, Björn Andersson works with M&A and assists clients with both smaller company acquisitions and larger transactions across a range of industries. He recently admitted to the Swedish Bar Association – a milestone that goes hand in hand with an increasingly clear focus on an area where law, strategy and business acumen converge in business-critical situations.
His interest in corporate law was sparked whilst he was still studying law, but it was only when working on transactions that he felt he had found the right specialist area.
"During my studies, it was corporate law in particular that I found interesting and chose to specialise in. When I then started working with M&A, I quickly realised that this was the area I wanted to continue in," he explains.
An area where no two days are the same
What particularly appeals to Björn about M&A is the combination of law, business and strategy. The work is characterised by a fast pace and close collaboration with both clients and other advisers throughout the process.
"Every transaction involves a new company, a new industry and a new context. You're constantly learning something new, so the work never feels routine."
In addition to legal analysis, the work often involves navigating negotiations and strategic decisions in complex business situations.
"Interesting issues constantly arise that require creative problem-solving, and you work on projects alongside driven colleagues, other advisers and clients."
At Lindahl, the M&A team works on transactions across sectors including industry, property, tech and life sciences – ranging from entrepreneur-led companies to larger, established businesses.
"The assignments are very varied, which I see as a strength. We work on everything from smaller company acquisitions to larger and more complex transactions."
What an M&A process looks like in practice
Although every deal is unique, there are certain recurring elements in most M&A processes. The work often begins by structuring the project and identifying which issues are most important to address early on.
A key part is the legal due diligence process, where the target company is scrutinised to identify risks and other relevant circumstances. In parallel, negotiations take place regarding the transaction documentation, usually in the form of a purchase agreement and associated annexes.
"The process concludes with the deal being signed and completed, which we also assist with. Every transaction is unique, but the structure is fundamentally the same – and it is often during the course of the project that the most interesting legal and commercial issues arise."
For clients, this often involves crucial strategic decisions, which places high demands on the advice provided.
"An acquisition or a sale is a major decision, whether it involves growing through an acquisition or selling a business that has been built up over a long period of time. Fundamentally, it is about protecting the client's interests and ensuring that the deal is completed on the right terms."
Close collaboration throughout the process
An important part of Lindahl's approach is working closely with clients and being able to support them throughout the entire transaction.

At the same time, Björn highlights the firm's local roots and close client relationships as a key part of the advisory service.

The work is also carried out in close collaboration with colleagues from various specialist areas.
"In M&A assignments, we always work in teams, and this is a key aspect of the quality of our advice. We assemble our teams based on the transaction's requirements and draw on expertise from multiple specialist areas."
Internal collaboration is vital to delivering accurate and well-founded advice.
"Internally, we have an open culture where we discuss issues with one another and draw on each other's experience. This enables us to provide well-founded advice and pick up on important details."
Clarity and business acumen are becoming increasingly important
In intensive processes, it is often the adviser's ability to provide clarity that makes the biggest difference, says Björn.
"In my experience, clients value above all that we are accessible, clear and proactive."
He describes how clients are not just looking for legal analysis, but for advice that helps them move the deal forward.
"An M&A process can be intense and move quickly, and in such cases you need an adviser who understands the deal in depth and can communicate legal issues in a way that provides guidance – not just a list of risks."
At the same time, the regulatory framework surrounding business transfers and investments is becoming increasingly comprehensive, not least as a result of developments within the EU and a more uncertain global environment.
"New legislation in areas such as foreign direct investment, sustainability and AI places new demands on us as advisers. This means we need to keep ourselves constantly updated and be able to navigate an increasingly dynamic environment."
For Björn, it is precisely this combination of law, strategy and business that makes the field so stimulating.
"No two deals are alike, and it is this dynamism that ensures M&A remains such an interesting area to work in."
Björn sees his recent admission to the Swedish Bar Association as a natural progression in his focus on M&A – an area where legal analysis and business acumen are of crucial importance.
