Lindahl advises Nanologica on corporate acquisition and capital raise
Lindahl has acted as legal advisor to Nanologica AB (publ) in connection with the company's acquisition of all shares in Ardena Södertälje AB (Syntagon) and in connection therewith a capital raise of approximately SEK 96.2 million.
Syntagon is a contract manufacturer primarily of pharmaceutical substances with expertise and capacity in chemical manufacturing. The company has a team of just over 45 employees and is based in Södertälje. The acquisition strengthens Nanologica's production capacity and contributes to broadening the group's product portfolio.
The capital raise consists partly of directed share issues totaling approximately SEK 13.7 million, and partly of a rights issue of approximately SEK 82.5 million fully secured through subscription commitments and guarantee undertakings. The proceeds from the issue are primarily intended to be used to strengthen the company's financial position, meet the company's working capital needs for the production and sale of the company's silica media, and to offset outstanding loans.
Nanologica is a Swedish life science tools company that develops, manufactures and sells advanced input materials to pharmaceutical manufacturers. The company's silica-based products are specially designed for purification of peptide drugs, such as insulin and GLP-1 analogues.
Lindahl's team consisted primarily of Mårten Steen, Erika Svensson, Olle Swärd Brattström, Emira Nipe, Michaela Larsson and Anna Drogou.
